ANNEX - SWITCH TECHNOLOGY

1. Integration and Testing

1.1. Holibob will provide the Specification to the Partner to enable the Partner to integrate the Partner Technology with the Switch Technology.

1.2. Holibob may, at any time, change or otherwise modify the Specification without liability to the Partner. Holibob shall provide the Partner at least 30 days prior written notice of any such change.

2. Testing and Acceptance

2.1. Holibob shall carry out such testing as is necessary and agreed between the Parties to ensure that Content can be displayed, and Bookings can be made, through the Switch Technology.

2.2. Holibob will determine (acting reasonably but in its sole discretion) when relevant acceptance testing has been completed such that the Go Live Date can occur.

3. Go Live

Holibob will make available the Switch Technology from the relevant Go Live Date, which will not be before the Target Go Live Date.

4. Description of Services

4.1. The Switch Technology shall provide the functionality to enable the Partner Technology System to make Bookings for Customers with the Partner Suppliers via the Partner Supplier’s booking system.

4.2. The Switch Technology shall only make available to the Partner the Supplier Prices provided by the Partner Supplier through its API and Holibob shall not amend those Supplier Prices.

5. Partner Obligations

5.1. For all Partner Suppliers, the Partner shall:

5.1.1. At least 12 weeks before the Target Go Live Date (or before any future date from which the Partner wishes to integrate an additional Partner Supplier):

5.1.1.1. notify Holibob in writing of those Partner Suppliers which it wishes to integrate into /with the Switch Technology; and

5.1.1.2. provide the relevant API credentials for such Partner Suppliers (“Partner Supplier API”) to Holibob to enable Holibob to integrate those Partner Suppliers to the Switch Technology;

5.1.2. notify Holibob of any changes to any Partner Supplier’s API credentials and ensure those API credentials remain ‘live’;

5.1.3. provide the Partner Payment Gateway and process all payments for Bookings;

5.1.4. provide booking terms and conditions which apply to a Customer’s Booking with the Partner.
