ANNEX - WHITE LABEL WEBSITE
1. Website Configuration and Design
1.1. Holibob will configure, design (using standard template designs) and test the White Label Website from the Effective Date up to and including the Target Go Live Date.
1.2. Holibob will use standard template designs for the White Label Website.
1.3. The Partner may request amendments to the standard template designs and, subject to paragraph 1.4, Holibob will work with the Partner to accommodate amendments to the designs to meet Partner’s requirements.
1.4. Holibob shall be under no obligation to implement any changes to the standard template designs and may, in its absolute discretion, refuse to implement them, or to implement them only on the condition that the Partner pays for the work required to implement them at Holibob’s standard charging rates.
2. Testing and Acceptance
2.1. Holibob shall carry out such testing as is necessary and agreed between the Parties to ensure that Content can be displayed, and Bookings can be made, on the White Label Website.
2.2. Holibob shall use reasonable endeavours to ensure the White Label Website is available to make Bookings by the Target Go Live Date but provides no guarantee in this regard.
2.3. Holibob will determine (acting reasonably but in its sole discretion) when relevant acceptance testing has been completed such that the Go Live Date can occur.
3. Go Live
3.1. Holibob will make available the White Label Website from the relevant Go Live Date, which will not be before the Target Go Live Date.
4. Description of Services
4.1. Holibob shall:
4.1.1. Host, operate and maintain the White Label Website in accordance with the Agreement;
4.1.2. provide the functionality to enable Bookings to be made by Customers on the White Label Website.
4.2. Holibob Suppliers: If the Partner has opted to use Holibob Suppliers, Holibob shall:
4.2.1. provide and display Holibob Content on the White Label Website;
4.2.2. provide booking terms and conditions which apply to a Customer’s use of the booking service provided by the White Label Website;
4.2.3. provide the Holibob Payment Gateway to enable Customers to make payments for Bookings via the White Label Website.
4.3. Partner Suppliers: If the Partner has opted to use Partner Suppliers, Holibob shall:
4.3.1. provide the functionality to display, and display, the Partner Content on the White Label Website;
4.3.2. provide a privacy policy and website terms of use and display these on the White Label Website;
4.3.3. provide the functionality to enable Customers to make payments for Bookings through the Partner Payment Gateway, and if requested by the Partner and the payment gateway provider’s functionality permits it, ensure the integration of the Partner Payment Gateway enables the Partner to automatically transfer the relevant part of a Customer’s payment for a Booking to the relevant Partner Supplier.
5. Partner Obligations
5.1. If the Partner has opted to use the Partner Payment Gateway the Partner will provide the Partner Payment Gateway and process all payments for Bookings.
5.2. If the Partner has opted to use Partner Suppliers, the Partner shall provide booking terms and conditions which apply to a Customer’s use of the booking service provided by the White Label Website.
5.3. If the Partner directs Customers to the White Label Website from its own website, the Partner shall take reasonable steps to ensure that the mechanism for directing Customers is fully functioning so as to enable Customers to access the White Label Website.
